Terms of Service

This Agreement governs your access to and use of the website dabfamily.mom, all related subdomains, services, tools, and content provided by DAB FAMILY LLC. By registering an account, submitting an inquiry, or engaging our services, you acknowledge that you have read, understood, and accept these terms in their entirety.

DAB FAMILY LLC reserves the right to modify these terms at any time. Changes become effective immediately upon posting to the website. Your continued use following any modifications constitutes acceptance of the updated terms. It is your responsibility to review this page periodically.

DAB FAMILY LLC provides logistics coordination, supply chain management, freight forwarding, and related business services to clients throughout the United States. The specific scope of services provided to you will be defined in a separate service agreement, statement of work, or purchase order.

We reserve the right to refuse service to any person or entity for any lawful reason. We may suspend or terminate services immediately if we determine that your use violates these terms, applicable law, or poses a security or compliance risk.

All fees for services are due as specified in your service agreement or invoice. Payment terms are net 30 days from the date of invoice unless otherwise agreed in writing. Late payments may incur a service charge of one and one-half percent (1.5%) per month or the maximum rate permitted by law, whichever is lower.

You are responsible for all applicable taxes, duties, and government charges associated with the services provided. All payments must be made in United States dollars via wire transfer, ACH, or other method accepted by DAB FAMILY LLC.

All content, materials, designs, logos, text, graphics, and software on dabfamily.mom are the exclusive intellectual property of DAB FAMILY LLC or its licensors. This includes, but is not limited to, website code, visual design elements, documentation, reports, methodologies, and proprietary systems.

You may not reproduce, distribute, modify, create derivative works from, or publicly display any content from our website or services without our prior written consent. Nothing in these terms grants you any license or right to use our trademarks, service marks, or trade dress.

Both parties agree to maintain the confidentiality of all proprietary information disclosed during the course of the business relationship. Confidential information includes, but is not limited to, business plans, financial data, customer lists, pricing structures, operational methods, and technical data.

Confidential information may only be used for the purpose of performing obligations under this Agreement and must not be disclosed to any third party without the disclosing party's prior written consent, except as required by law. This obligation survives termination of this Agreement for a period of five years.

To the maximum extent permitted by applicable law, DAB FAMILY LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to the use of our website, services, or these terms. This includes, without limitation, loss of profits, business interruption, loss of data, or cost of substitute services.

Our total aggregate liability for any claim arising under these terms shall not exceed the total fees paid by you to DAB FAMILY LLC in the twelve (12) months preceding the event giving rise to the claim. This limitation applies regardless of the theory of liability, whether in contract, tort, or otherwise.

Either party may terminate this Agreement by providing thirty (30) days written notice to the other party. DAB FAMILY LLC may terminate this Agreement immediately without notice if you breach any material term, fail to make payment when due, engage in fraudulent or illegal activity, or become insolvent or subject to bankruptcy proceedings.

Upon termination, you must immediately cease all use of our website and services, return or destroy any confidential information in your possession, and pay all outstanding fees and charges accrued through the date of termination.

These Terms of Service and any disputes arising out of or relating to them shall be governed by and construed in accordance with the laws of the State of Utah, United States, without regard to its conflict of laws principles. The parties expressly agree that the United Nations Convention on Contracts for the International Sale of Goods does not apply to this Agreement.

Any legal action or proceeding arising under these terms shall be brought exclusively in the state or federal courts located in Utah County, Utah. Each party submits to the personal jurisdiction of such courts and waives any objection based on improper venue or forum non conveniens.

Before initiating any legal proceeding, the parties agree to attempt to resolve any dispute through good-faith negotiation. If the dispute cannot be resolved within thirty (30) days, the parties agree to submit the matter to binding mediation administered by a mutually agreed mediator in Utah County, Utah.

If mediation is unsuccessful, either party may pursue arbitration or litigation as permitted by law. The prevailing party in any dispute resolution proceeding shall be entitled to recover its reasonable attorneys fees, costs, and expenses from the non-prevailing party.

All legal notices must be sent in writing to the postal address above with a courtesy copy via email. Notices are deemed received five business days after mailing or upon email confirmation, whichever is earlier.
